Processing

Customers place Purchase Orders to HLS via email. (e-mail to: po@hlscommercial.com)
Purchase Orders should specify Purchase Order Number, Ship To Address & Contact Info, Billing Information, Order Issue Date, Model Number, Order Quantity, Total Cost.
HLS’ order processing time is three (3) to five (5) business days after order placement.
HLS will notify Customer of any price discrepancies on Purchase Orders. We require a revised Purchase Order from Customer to correct any discrepancies prior to shipping.

Stock

HLS will reserve Purchase Order item qualities once order is confirmed by e-mail.
HLS makes every effort to have updated stock information available. HLS assumes no responsibility for stock shortages or manufacturer discontinuations.
No Back Orders or Order Substitutions on any item that is not available when orders are placed. Please check with HLS for availability dates to reorder when items are available.

Shipping

HLS appoints Customer as a non-exclusive distributor to sell and display the HLS product line only in the commercial industry.
HLS agrees to sell to Customer in accordance with the terms in effect at the time of sale.

Payment

Charges

Customer shall make payment to HLS Commercial for all undisputed, properly invoiced amounts by payment due date. A two percent (2%) per month late fee will be charged starting from the payment due date if any or all amount is not paid. If Customer decides to pay by credit card, a four percent (4%) credit card processing fee may be required. HLS may refuse shipment if payment is not collected.
Customer is responsible to make sure Credit Card or Check is without issues when submitted for payment. HLS is not responsible for any handling fee or shipment delay that resulted from any decline, bounce back, incorrect information and any other reasons that lead to the failure of proper order processing.
Customer agrees to pay all costs of collection, including reasonable attorney’s fees incurred by HLS as a result of the failure of Customer to make payments to HLS according to the payment terms. All amounts payable at any time to HLS by Customer shall, at the option of HLS and upon written notification to Customer, become immediately due and payable in the event of: insolvency of assignment for the benefit of creditors by Customer; any statement of representation made to HLS by Customer pertinent to its financial condition which is determined by HLS to be false or misleading; failure to pay any invoice within a reasonable period of time from the stated due date. The provisions of this item shall apply regardless of the termination of this Agreement.
HLS reserves the right to change credit term at any time with written notice.
HLS is not responsible and will send Customer invoices regarding restocking fee, freight, and handling charges due to refused or undeliverable shipments.

Returns

All sales are final. Returns or exchange will only be accepted for defective or damaged items.
Customer acknowledges and agrees to notify HLS within 30 days of the date of receiving goods regarding defective merchandise. Any defective exchanges or replacement requests are only valid within 30 Days of original Purchase Order being placed with HLS.
A return or exchange instruction will be issued after HLS receives the defective merchandise notice.

Cancellations

Customer agrees to submit Cancellation requests to HLS by e-mail or fax. If HLS is able to cancel the order, HLS will reply your request, “Cancelled per your request”. If an order is unable to be cancelled it will be invoiced and shipped accordingly.
HLS will contact Customer when orders are unable to be fulfilled and a cancellation is necessary. HLS will then cancel unfulfillable orders in three (3) business days after being placed if no response or confirmation is received.

Shortages, Mis-shipments, Mis-billings

Customer agrees to notify HLS within five (5) days of delivery date/expected delivery date with Shortages, mis-shipments and mis-billings. Original boxes, enclosed documentation and packing materials should be saved.
Mis-shipments are credited in full upon received of merchandise return. Any incorrect product shipments will be temporarily invoiced for inventory purposes until the items are returned and credited. This credit will offset the invoice amount.
Customer agrees to contact HLS if any order is duplicated or excess merchandise is shipped.

Intellectual Property

Customer acknowledges the validity of all trademarks, patents, tradenames, copyrights and other intellectual property owned by HLS.

Customer shall do nothing which might prejudice or adversely affect the validity of such intellectual property or their ownership. Upon termination of the Agreement, Customer shall discontinue and abandon the use of the name HLS or any of its trademarks and shall immediately cease to advertise or represent itself as a HLS Customer.

Sole Agreement

This Agreement constitutes the entire understanding of the parties and supersedes any prior agreements, written or oral and shall be construed in accordance with the laws of the State of California. Past practice and course of dealings between the Parties shall not be used to amend the terms of the Agreement. The failure of either party to require the performance of any terms of the Agreement or the waiver by either party of any breach shall not prevent a subsequent enforcement of such terms, nor be deemed a waiver on any subsequent breach.

Assignment

This Agreement may not be assigned in whole or in part by Customer without the written approval of HLS. It is agreed by the parties that an assignment shall include a change of ownership or control.

Tax Exemption

Customer holds a valid seller’s permit for the states issued pursuant to the sales and use tax laws of the appropriate state, and certifies that is engaged in the business of selling and that all the products that it shall purchase from HLS will be resold by it in the form of tangible personal property; provided however that in the event any such property is used for any purpose other than retention, demonstration, or display while holding it for sale in the regular course of business, it is understood that Customer is required by the sales and use tax law to report and pay for the tax, measured by the purchase of said property. (If additional space is needed, please attach separate sheet.)

Confidential Information

During the course of normal business, HLS will provide Customer with confidential information, including, without limitation regarding inventory, product, practice and programs. This information must be used solely for the purpose of conducting business with HLS and is not to be disclosed or distributed to any third party, including any competitor to HLS, without the express prior written consent of HLS. Upon request of HLS, you will promptly return all copies of such confidential information or destroy all copies of such confidential information and provide a written certification of destruction. Nothing contained herein will prevent either Party from complying with any disclosure requirements of applicable law, regulations or court orders, provided that prior to any legally required disclosure, written notice will be provided to HLS at least seven (7) days before disclosure and any such disclosure will disclose only such information as is required by such law, regulation or court order.

All images supplied by HLS of its product, including images on HLS’s web site are the exclusive property of HLS. HLS retains the right to all images supplied of its products, including images on HLS website. You are authorized to use these images only in connection with the sale of HLS products. No other use or distribution is permitted, and you may not use HLS’s images in connection with the purchase of products from any person or entity other than HLS. HLS retains the right to ask you to cease using our images for any reason. Use or distribution of HLS images for any purpose other than in connection with the sale of HLS product(s) will be considered an agreement to license HLS images and you will be charged accordingly. Price and product availability are subject to change without notice. HLS cannot be responsible for typographical errors in any catalog, printed or online. By placing an order, Customer accepts all HLS terms and policies.

In no event shall either party’s liability hereunder include any special, indirect, incidental or consequential losses or damages, even if such party shall have been advised of the possibility of such potential loss or damage.
